Purchase Price in M&A Deals: Equity Value or Enterprise Value?

Does that mean the price is the Enterprise Value?” The Basic Definitions Equity Value: Value of ALL the company’s assets, but only to common equity investors (shareholders). Enterprise Value: Value of ONLY the core business operations, but to ALL investors (equity, debt, etc.). So when you calculate Enterprise Value, starting with Equity Value… Add Items When: They represent other investors (Debt investors, Preferred Stock investors, etc.) or long-term funding sources (Capital Leases, Unfunded Pensions) Subtract Items When: They are not related to the company’s core business operations (side activities, cash or excess cash, investments, real estate, etc.) The Confusion The problem is that many sources say Enterprise Value is what it “really costs to acquire a company.” But that’s not exactly true – yes, sometimes Enterprise Value is closer, but it depends on the deal terms and the items in Enterprise Value. We know, WITH CERTAINTY, that if you acquire 100% of a company, you must pay for 100% of its common shares. So the Purchase Equity Value is sort of a “floor” for the purchase price in an M&A deal. But should you really add the seller’s Debt, Preferred Stock, and other funding sources, and subtract 100% of the seller’s cash balance to determine the “real price”? There are many problems with that approach, but we’ll look at two of them here: PROBLEM #1: Does Debt really increase the purchase price? It depends, because debt can be either “assumed” (kept) or “refinanced” (replaced with new debt or paid off). Debt is Assumed: Does not increase the amount the buyer “really pays” for the seller. Debt is Repaid with the Buyer’s Cash: Does increase the amount the buyer “really pays”. Existing Debt is Replaced with New Debt: Increases the amount the buyer “really pays,” but the buyer still isn’t paying more cash. PROBLEM #2: Does Cash really reduce the purchase price? A buyer can’t just “take” a seller’s entire cash balance following a deal – all companies need a certain “minimum cash balance” to keep operating, paying the bills, etc. That portion of cash is actually a core business operating asset. Enterprise Value: As a simplification, we ignore the minimum cash and subtract all cash instead. So if a company operating by itself always needs some minimum amount of cash, it certainly still needs a minimum amount of cash in an M&A deal. Other Complications Transaction Fees: These always exist, and will always increase the price the buyer pays (lawyers, accountants, bankers, etc.). Unfunded Pensions, Capital Leases, etc.: These don’t necessarily have to be “paid” or “repaid” upon change of control… so they may not even affect the price, even though they factor into Enterprise Value. Extra Cash: What if the buyer’s cash + seller’s cash are used to fund the deal? Then the real price paid may not even be comparable to the seller’s Equity Value or Enterprise Value. The Bottom Line You have to distinguish between the *valuation* of a company or deal and the *actual price paid*. Equity Value and Enterprise Value are useful for valuation, but less useful for determining the real price paid. The real price paid may be between Equity Value and Enterprise Value, above them, or even below them, depending on the terms of the deal – due to the treatment of debt and cash, fees, and liabilities that don’t affect the cash cost of doing the deal. When you see language like “Including assumption of net debt,” that means the approximate Purchase Enterprise Value for the deal, because they are calculating it as Purchase Equity Value + Debt – Cash. But it’s still not what the buyer actually pays – it’s just a way to value the deal and get multiples like EV / EBITDA. B2B Purchasing Negotiation Five Strategies to Reduce Vendor Prices

The following video outlines five purchasing and procurement strategies all geared towards lowering vendor prices and or reducing supply chain and inventory management costs. These strategies are put forth from someone who has worked in sales and marketing for 20 years and wanted to combine the best strategies employed by the best purchasing negotiation teams. In essence, these strategies come from those purchasing and procurement agents I have negotiated with. They include the most successful strategies employed against me. The first includes not tipping your hand and or broadcasting your needs too soon in the negotiation process with a salesperson. Instead, nail down your price and then use your requests, needs and or concession to reduce pricing. For instance, agree upon a final price and then ask for a discount or reduced price for 1) prepaying total or a portion of your purchase, 2) prompt payment incentives like net-10 day terms 1 to 2 percent discount or 3) increasing volumes or committing to long-term supply contracts or orders. The second tip includes avoiding using veiled threats - which are simply threats you have no intention of following through on. When you threaten vendors too much without ever following through on a threat, then you are simply training them not to take your threats seriously. Third, match a high-value concession for a high-value concession. In this case, come up with a list of requests and or "must-haves" as outcomes from the price negotiation. When the salesperson makes a request, make sure you counter with one of your own of equal value. Fourth, when it comes to getting price reductions from a salesperson, you have to sometimes appeal to their better nature. In this case, add a little personal touch to your negotiations. Ask for a price reduction by outlining the pressures and demands that are placed upon you as a purchasing agent. In this case, you have to attain a certain inventory cost structure so ask your salesperson to help you attain that. Finally, keep your vendor honest by constantly going out for competitive bids. Even the best of vendors can become complacent. However, if they know you know as much about pricing in the market as they do, then those vendors will be less likely to take advantage of you.

This basic English vocabulary lesson will teach you how to understand prices, and say them like a native speaker! But one thing I do like is saving money and getting a bargain or a deal when I have to go shopping and buy something. What I'm going to teach you is how to talk about prices or how much something costs or how much something was in English. It is difficult, I think, to say numbers or listen to when people tell you how much something costs in English because we don't say, "Ten dollars and seventy-five cents, please." What we do is we take the number, and we divide it. So if I was going shopping, and I wanted to ask someone, I would say, "Hey, how much is this?" If I held the thing in my hand and said, "Excuse me. How much is this?" People would say -- or the person that was trying to sell it to you would say, "It is ten seventy-five." You do not need to go through "ten dollars and seventy-five cents." We just say the first number, then the second number. So this number is "ten seventy-five". Wherever the dot is -- or the decimal point -- that's where we divide the number. This one is "two fifty". This one would be "eighteen twenty-five". Something quite expensive would be "a hundred and eighty-seven forty-two". Now, we do not -- at least I don't -- buy things that are in the thousands. But maybe you're going shopping, and what you're buying is very expensive. If the number is over a hundred -- it's "one thousand eight hundred and seven eighty-seven". It's the same rule. We say the first number, and the cents we just say as a number together. Maybe in your country you use a very, very high or big currency. Most of our purchases are not more than a thousand dollars, depending, of course, on what you're buying. But a typical grocery store or clothing store probably -- maybe, depends how much you eat or what you buy -- it's not going to be over a thousand. So you're not going to have to use "one thousand seven hundred and forty-two" a lot. The other really, really easy thing is that if you don't really understand when people speak very quickly, like, "It's ten seventy-five." "What? Excuse me. How much is this?" "Three eighty-five" "What?" "Three eighty-five." "What?" "Three eighty-five." What you can do is when they type it into the cash register, you can look at the price. Or you can ask them "Please write it down." That way, you can actually see the numbers. Now, I've told you that the person will say, "It is" -- the price. Once you have bought it, you can say to your friends, "Do you like my new shirt?" Your friend's like, "Oh, I love it! Oh, my God! How much was it?" And then you punch your friend for having friends that talk like that. You're going to say, "It was". So after you have bought something, "it was ten seventy-five." "It was two fifty." This is the only grammar, the only two tiny words that you need to use. Yes. No. Don't say this. Don't say this, "The price is" or "the price was"; "the cost is"; "I paid the money". "Did you really pay money?" Of course, you paid money. Do not use these expressions. They're very unnatural. This one is just strange and unnecessary. So the next time you go shopping, try and listen; try and ask people questions; and listen to the price of things. Watch out for the evilness called "tax". People will always say, "Oh, that's eighty-seven thirty-five plus tax." And in Canada, it's not included in the price, so good luck shopping out there. Until next time, goodbye.

These signs are also called Bandit Signs. These areas are more likely to find distressed sellers who donʼt have the luxury of waiting around for an offer, canʼt come up with cash to perform any repairs, or might only be weeks away from losing the property to the bank - and they NEED to sell ASAP and take a loss from what they could otherwise get in any other scenario. The purpose of the signs is to attract sellers who are desperate to sell, and don’t mind taking a discount to sell quickly. But whoʼs on the other side of the deal, whoʼs the one actually buying these properties? These are the three types of people: First, the wholesaler. They will evaluate the property and negotiate a price to buy the home, usually with an assignment clause, allowing them to transfer the deal - and the price - to someone else, for a higher price than they’re in contract for. This gives them the OPTION to buy that home at the pre agreed upon price, and then they can ASSIGN that deal to someone else for a profit. The second type of person buying these properties are simply individual investors. These are people, like me, whoʼd like to cut out the middle man and cut out the competition. Google Wifi and the Netgear Orbi are currently my favorites routers and I'll give the pros and cons for both. Before we talk about improving your wireless network, let's see what you're currently getting in terms of bandwidth. There are many apps that test your internet connection, but the one I'd like to recommend to you is available as both a website and an app and it's called Fast.com. I'm recommending this app because it is powered by Netflix and when you're calculating your internet speeds, you should want to know the ACTUAL speed you're likely to achieve when using video streaming services like Netflix. This knowledge becomes exponentially more important depending on the fate of Net Neutrality.
